First Stop IT QuickBooks Integration

This End User Licence Agreement (“Agreement”) is a legal agreement between First Stop IT Ltd (“First Stop IT”, “we”, “us”), a company registered in England and Wales, and you, the user (“you”). It governs your use of the First Stop IT QuickBooks Integration (the “Application”). By installing, accessing or using the Application, you agree to be bound by this Agreement. If you do not agree, do not use the Application.
1. The Application
The Application is an internal integration that connects a QuickBooks Online company to First Stop IT’s internal tooling. It accesses QuickBooks Online data on a read-only basis through the QuickBooks Online API, for the purpose of retrieving accounting reports and records. It is provided for First Stop IT’s own internal business use and is not distributed, sold or made available to third parties.
2. Licence
Subject to this Agreement, First Stop IT grants you a limited, non-exclusive, non-transferable and revocable licence to use the Application solely for authorised internal business purposes. No rights are granted other than those expressly set out here.
3. Restrictions
You must not:
- copy, distribute, resell, sublicense or otherwise make the Application available to any third party;
- reverse engineer, decompile or attempt to derive the source code of the Application, except to the extent this restriction is prohibited by law;
- use the Application for any purpose other than the authorised internal purpose for which access was granted;
- attempt to access data or systems beyond the access expressly granted to you.
4. QuickBooks data
The Application accesses QuickBooks Online data only with the authorisation of the company that owns that data, and only on a read-only basis. Your use of QuickBooks Online and its data remains subject to Intuit’s own terms. First Stop IT handles any data accessed through the Application in accordance with its privacy policy, and stores authentication credentials securely on its own infrastructure.
5. Intellectual property
The Application, and all intellectual property rights in it, remain the property of First Stop IT or its licensors. This Agreement does not transfer any ownership rights to you.
6. No warranty
The Application is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement, to the fullest extent permitted by law.
7. Limitation of liability
To the fullest extent permitted by law, First Stop IT will not be liable for any indirect, incidental, special or consequential loss, or any loss of profits, data or business, arising out of or in connection with your use of the Application. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law.
8. Term and termination
This Agreement applies for as long as you use the Application. First Stop IT may suspend or terminate your access at any time. On termination, your right to use the Application ends immediately.
9. Changes
First Stop IT may update this Agreement from time to time. Continued use of the Application after any change takes effect constitutes acceptance of the revised Agreement.
10. Governing law
This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
